Terms of Service

These Terms of Service govern your use of ADE, a New Zealand-based software platform for quoting, invoicing, customer management, purchases and business administration.

Eligibility and account responsibilities

To use ADE, you must be authorised to act for your business and provide accurate account information. You are responsible for keeping your login credentials secure, for all activity on your account, and for maintaining the records you create in ADE.

ADE provides tools to create and manage quotes, invoices, customer records and purchase information. You are responsible for:

ADE is software only. We do not provide accounting, legal, tax or financial advice. You should consult a qualified professional for advice specific to your circumstances.

Acceptable use

You may not use ADE for unlawful purposes or to submit offensive, defamatory, fraudulent or infringing content. You must not attempt to access the platform unlawfully, interfere with service operation, or bypass security protections.

Intellectual property

ADE and its content are owned by the company operating the service. You retain ownership of the data you upload, while ADE retains ownership of the software, branding and platform materials.

Service availability

ADE is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free access, and service may be affected by maintenance, network issues or third-party interruptions.

Data and backups

While ADE takes reasonable steps to protect and store data, you are responsible for maintaining your own copies of important business records. ADE does not guarantee that data will never be lost, corrupted, deleted, or become unavailable.

Third-party services

ADE may rely on third-party providers including hosting providers, email delivery services, payment processors, artificial intelligence services, analytics services, and other technology partners. ADE is not responsible for outages, errors, interruptions, data loss, or actions caused by third-party services.

AI-generated content

ADE may provide features that generate content using artificial intelligence. AI-generated content may be inaccurate, incomplete, or unsuitable for a particular purpose. You must review and verify all AI-generated quotes, invoices, communications, calculations, recommendations, and business documents before relying on or sending them.

No warranty

To the fullest extent permitted by law, ADE disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or availability.

Financial and tax responsibility

You remain solely responsible for determining the correct tax treatment, GST treatment, accounting treatment, invoice requirements, and legal compliance of any document created using ADE. ADE does not guarantee compliance with any specific legal, accounting, taxation, or regulatory requirement.

Force majeure

ADE will not be liable for any delay, interruption, or failure to perform resulting from events beyond its reasonable control, including natural disasters, internet outages, cyber attacks, government actions, labour disputes, utility failures, or failures of third-party providers.

Consumer Guarantees Act

Where ADE is supplied to a business for business purposes, the parties agree that the Consumer Guarantees Act 1993 shall not apply to the maximum extent permitted by New Zealand law.

Limitation of liability

To the fullest extent permitted by law, ADE is not liable for indirect or consequential loss, lost profit, lost revenue, lost business, lost data or any special damages arising from your use of the platform.

ADE's total liability to you for any claim arising from these Terms is limited to the amount you paid in the previous 12 months, or NZD $100 if no fees have been paid.

Indemnity

You agree to indemnify and hold ADE harmless from claims, losses or expenses arising from your use of the service, your data, or any breach of these Terms.

Suspension and termination

ADE may suspend or terminate accounts for breach of these Terms, unlawful activity, or if we believe the service is being misused. We may also restrict access for maintenance or security reasons.

Changes to these terms

We may update these Terms in the future. Continued use of ADE after changes are posted means you accept the revised terms.

Governing law

These Terms are governed by the laws of New Zealand. Any dispute will be subject to the exclusive jurisdiction of the courts of New Zealand.

ADE is a software platform only and is not a chartered accountant, tax agent, law firm, or financial adviser.
